TBGS Books Internal-Use End-User Agreement

Operator: TBGS Holdings LLC
Effective date: November 4, 2026
Support contact: info@tbgsholdings.com

1. Purpose and authorized users

This agreement governs authorized internal use of TBGS Books for TBGS Holdings LLC’s business. Eligible users are people TBGS approves, including employees and professional advisers. Access is granted individually; possession of a link does not grant permission to use the app or view records.

Subject to TBGS’s authorization and this agreement, you may use the functions made available by your role to perform approved TBGS work. This permission is limited, nonexclusive and revocable. It does not transfer ownership of the software, business records, third-party services or related intellectual property.

2. Accounts and responsibilities

Use your own approved sign-in identity and protect your account and device. Do not share access, impersonate another user, bypass permission controls, test unauthorized accounts, distribute credentials, or introduce harmful files. Tell the support contact promptly if you suspect unauthorized access or an incorrect permission assignment.

Only access, upload, change, export or share information you are authorized to handle. Provide accurate records, avoid unnecessary personal or confidential information, and verify that you have authority to submit documents about other people or organizations. Do not use the app for unrelated purposes or give outsiders access to TBGS information.

3. Review before relying on results

You are responsible for checking extracted document fields, accounting categories, quantities, source records and proposed matches before approving business actions. OCR and comparison results can be incomplete or wrong. A saved invoice does not prove that money was received, and matching dates or amounts do not establish the identity of a payment.

Reports depend on the records and evidence available. Unknown costs, incomplete periods, missing mappings, duplicate-number conflicts and unresolved items must remain under review. The app does not independently certify the books, complete a bank reconciliation, provide a professional tax or legal opinion, or approve an accounting-system cutover.

4. QuickBooks connection

Only the primary owner may connect or disconnect QuickBooks. Authorize only the intended company for which TBGS has permission. Sandbox and real-company connections remain separate. Administrators may run comparisons; people with financial read access may review results.

The integration is limited to accounting reads. Intuit’s OAuth Accounting permission is broader than the functions implemented here. The app does not create, update, delete or void QuickBooks accounting entries and does not automatically apply QuickBooks results to the TBGS ledger. Do not interpret a comparison suggestion as an authorized payment or posting. Financial posting tests belong in a sandbox, not as dummy entries in the real company.

Intuit authorization, availability, fees and applicable terms remain separate from this agreement. TBGS Books is operated by TBGS Holdings LLC and does not claim Intuit endorsement or certification. Cloudflare and other service providers have their own applicable terms.

5. Business records and confidentiality

Use business records only for approved TBGS work and disclose them only to authorized recipients. Protect downloaded reports, originals and backup files. Any customer, supplier, employee, adviser or third-party rights in information remain applicable; this agreement does not grant rights TBGS does not have.

TBGS may retain record history and recovery copies and may review activity for authorized business administration and support, as described in the privacy notice and applicable company procedures. Do not erase evidence, bypass a closed period, or remove an unresolved item merely to make a report appear complete.

6. Availability and changes

The app and its integrations may be unavailable during maintenance or because of network or provider issues. TBGS may correct features, change permissions, pause integrations or restrict access as needed to operate the system. Use approved continuity procedures when access is interrupted, and verify that an action was saved before repeating it.

No uninterrupted-service commitment, guaranteed financial outcome, independent audit result or certification is made by this agreement.

7. Suspension, departure and disconnection

TBGS may suspend or end access when a user’s authorization ends or when access would be inappropriate. Stop using the app when directed and handle local copies under TBGS’s approved instructions. Revoking access or disconnecting QuickBooks does not automatically erase retained records, prior observations or recovery copies.

Contact info@tbgsholdings.com for access changes, errors and support. Privacy and record requests follow the privacy notice provided with this agreement.

8. Adoption and acknowledgment

This agreement is effective November 4, 2026. TBGS will provide it to authorized users and retain their written acknowledgments through company administration, checking consistency with existing employment and adviser agreements. The app does not currently record agreement acceptance.
